Ed Winslow, former managing partner for Brooks Pierce, was a featured speaker recently at the 2017 joint annual meeting of the Business Law and International Law & Practice Sections of the North Carolina Bar Association held in Pinehurst. His presentation was titled: “À la Recherché du Temps Perdu: The Art and Science of Corporate Minutes.”
Winslow discussed best practices for preparing corporate minutes for businesses and nonprofit organizations, with an emphasis on the role of minutes in disputes and litigation about director liability and corporate control contests. He reviewed relevant law, recent developments and new technologies, drawing from his experiences over many years representing businesses and nonprofits across North Carolina in mergers, litigation and shareholder disputes.
